Terms of Service

1. Introduction and Legal Agreement

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "User"), and JAZ Engineering (PTY) Ltd (Registration Number: 2018/272793/07), trading as CribLogic ("CribLogic," "we," "us," or "our").

These Terms govern your access to and use of the criblogic.co.za website, the CribLogic software platform, and any associated modules (such as CribLogic Optima, NeuralCut, and Inventory). By accessing the platform, you agree that you have read, understood, and agreed to be bound by all of these Terms.

2. User Roles and Account Responsibility

CribLogic operates on a multi-tier, role-based access system. Your rights and responsibilities depend on your assigned role:

  • CUSTOMER_OWNER: The primary account holder and legal representative of the tenant entity paying for the subscription.
  • OPERATOR: An employee, contractor, or associate invited to the platform by the Customer_Owner.
  • RESELLER: An authorized third party who facilitates the onboarding and support of Customer_Owners.
  • Operator Liability: If you are a Customer_Owner, you are solely and strictly responsible for the actions, data inputs, physical safety, and compliance of any Operator you invite to your tenant workspace. CribLogic assumes no liability for the actions of Operators on the shop floor or within the software.

3. Subscription Billing and Merchant of Record

Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the authorized Merchant of Record (MoR) for all our global orders and transactions.

  • Payment Processing: By purchasing a subscription to CribLogic, you are also agreeing to Paddle's Buyer Terms and Conditions. Paddle handles all secure payment transactions, tax calculations (including VAT/Sales Tax), and provides all customer service inquiries related to billing, returns, and refunds.
  • Software Provision: While Paddle manages the financial transaction and billing support, JAZ Engineering (PTY) Ltd governs your actual usage of the CribLogic software and access to its modules.

4. Cancellations and Refunds

Because CribLogic billing is handled via our Merchant of Record, all subscriptions are subject to the following cancellation and refund terms:

  • 30-Day Guarantee: We offer a 30-day money-back guarantee on all initial CribLogic subscriptions. You may request a full refund within exactly 30 calendar days of your original purchase date by contacting Paddle buyer support or our team.
  • No Prorated Refunds: Outside of the initial 30-day window, refunds do not apply to subsequent monthly or annual subscription renewals. We do not offer prorated refunds for mid-cycle cancellations.
  • Access & Data Retention: If you cancel a premium module subscription, you will retain full access to that module until the end of your current paid billing cycle. Upon expiration, CribLogic will retain your module-specific data for a maximum period of six (6) months. If the subscription is not reactivated within this 6-month window, the data will be permanently deleted.

5. Reseller Mechanics and Support

If you purchased or were onboarded to your CribLogic subscription via an authorized Reseller:

  • The Reseller acts as your Tier 1 support contact. You must direct all initial troubleshooting, training, and configuration inquiries to them.
  • If the Reseller is unable to resolve a technical issue, CribLogic will provide Tier 2 technical assistance directly to the Reseller to ensure your system functions correctly.

6. Data Ownership and Privacy

We respect the confidentiality of your manufacturing operations while utilizing data to improve our ecosystem.

  • User Data: You grant CribLogic the right to store and process specific operational data on your behalf, including but not limited to Tool Brands, Cost Savings, Hours Saved, and Money Saved.
  • Excluded Data: We explicitly do not claim ownership of, nor do we require you to share, sensitive internal financial metrics such as your actual hourly labour rates or specific machine-hour rates.
  • Anonymized Aggregation: By using the platform, you grant CribLogic the irrevocable right to use anonymized, aggregated data (scrubbed of all identifying company information) to train our AI models, improve our features, and provide crowdsourced benchmarking (e.g., aggregated tool life confidence scores).

7. Strict Liability Disclaimer (Machine and Tool Damage)

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY.

Modules such as CribLogic NeuralCut provide calculated recommendations for cutting speeds, feeds, spindle dynamics, and tooling usage based on user inputs and theoretical mathematical models.

ALL CALCULATIONS, PREDICTIONS, AND AI RECOMMENDATIONS ARE PROVIDED "AS IS" AND STRICTLY FOR USE AT YOUR OWN RISK.

JAZ Engineering (PTY) Ltd, CribLogic, and its developers shall NOT be held liable for any direct, indirect, incidental, or consequential damages resulting from the use of our software recommendations. This absolute limitation of liability includes, but is not limited to:

  • Broken, chipped, or prematurely worn cutting tools and inserts.
  • Damaged machine tools, spindles, axes, or workholding equipment.
  • Scrapped or out-of-tolerance manufactured parts.
  • Machine downtime, lost profits, or physical injury to operators.

It is the sole responsibility of the Customer_Owner and the machine Operator to verify all generated cutting data, ensure the physical setup is rigid and secure, and override any software recommendation that appears unsafe for their specific real-world conditions.

8. Governing Law

These Terms and your use of the CribLogic platform shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles. While our platform facilitates international sales, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in South Africa.
